Churchill Capital Corp XI shareholders have approved the merger with Agility Robotics, clearing the shareholder vote for the Digit humanoid robot maker's planned Nasdaq listing. More than 84% of votes cast supported the business combination at the November 2 special meeting, and shareholders approved all related proposals.
The companies expect the transaction and associated financing to close on November 4, subject to applicable closing conditions. Agility's common stock is expected to begin trading on November 5 under the ticker AGLT, with warrants trading as AGLTW.
The transaction and related financings are expected to provide approximately $465 million in gross capital before expenses to support Agility's commercial expansion and additional robot deployments.
That total comprises approximately $164 million from Churchill XI's trust account, $201 million from a private investment in public equity, or PIPE, committed at $10 per share, and $100 million in equity funding Agility has already received since the merger announcement. Foxconn leads the PIPE, alongside existing Agility shareholders and new institutional investors.
Churchill XI is a special purpose acquisition company, a publicly traded vehicle formed to merge with an operating business. Shareholders also approved its move from the Cayman Islands to Delaware. The continuing entity will take the name Agility Robotics, Inc., and existing Churchill XI shareholders will hold stock in the Delaware corporation.
The financing accompanies an expansion of Digit's work in logistics and manufacturing. Under an expanded agreement with GXO, deployments at facilities in Statesville, North Carolina, and Lebanon, Tennessee, are expected to begin in early 2027. Digit has already moved more than 100,000 totes at GXO's Flowery Branch, Georgia, site, where it transfers containers onto conveyors alongside existing automation.
The new GXO sites will initially use Digit 4, with plans to transition to Digit 5 when it becomes commercially available. Agility Arc, the company's cloud platform, manages robot fleets and integrates them into customer operations.
Agility has also reported more than $300 million in committed multi-year orders for Digit 5. That figure represents potential value over time, subject to contractual milestones, features, and specifications, rather than current-period revenue. Early customer access to the next-generation robot is expected in the first half of 2027, with general availability targeted for the end of that year.
